These Terms of Service ("Terms") are a legal agreement between you and Pranjal Padmakar and Dhyaan Gowda, doing business as Relay ("we", "us", or "our") for access to and use of the Relay AI receptionist platform and related services (the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms.

Relay provides an AI-powered receptionist that answers phone calls, books appointments, captures leads, and handles common inquiries on behalf of your business. We may update, expand, or modify features over time.
2. Eligibility and accounts
You must be at least 18 years old and have authority to bind your business or organization. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it current.
3. Acceptable use
You agree not to use the Service to:
- violate any applicable law or regulation;
- send spam, commit fraud, or impersonate others;
- infringe intellectual property or other proprietary rights;
- interfere with the security, availability, or integrity of the Service, including through malware, scraping, probing, or unauthorized access attempts;
- generate or distribute harmful, illegal, or abusive content;
- resell, reverse engineer, or circumvent any technical limits of the Service.
4. Intellectual property
Relay owns all rights, title, and interest in the Service, including its software, documentation, branding, and underlying technology. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.
5. User content
You retain ownership of any content you provide, such as knowledge base entries, scripts, and business information. You grant Relay a limited license to use, process, and display that content solely to provide the Service to you.
6. Payments and subscriptions
Access to paid features requires an active subscription. Fees, billing frequency, and renewal terms are described at checkout and in your account. By subscribing, you authorize us to charge the applicable fees.
Payment processing, billing, tax, invoicing, cancellation, and refund mechanics are handled by our online reseller, Paddle.com. Please review Paddle's Buyer Terms for details. Paddle.com is the Merchant of Record for all Relay orders. Paddle provides customer service inquiries and handles returns.

8. Cancellations and refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period unless otherwise stated. Refunds are governed by our Refund Policy.
9. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, pose a security or fraud risk, or repeatedly or seriously violate our policies. You may terminate your account at any time.
10. Warranties and disclaimers
The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or suitable for every use case. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11. Liability
To the fullest extent permitted by law, Relay's aggregate liability is limited to the fees you paid in the twelve months preceding the event giving rise to liability. We are not liable for indirect, consequential, special, or punitive damages, including lost profits or data, even if advised of the possibility. Nothing in these Terms limits liability for fraud, death, or personal injury where required by law.
12. Indemnity
You agree to indemnify and hold Relay harmless from claims arising out of your content, your use of the Service, or your violation of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any dispute arising from these Terms will be resolved in the courts located in Delaware.
14. Changes to these Terms
We may modify these Terms from time to time. We will post the updated Terms with a revised "Last updated" date. Continued use of the Service after changes constitutes acceptance.
